Terms & Conditions
Last Updated: 12 May 2025 · Effective Date: 12 May 2025
These Terms & Conditions govern participation in programmes and use of resources provided by Neurogarden (referred to throughout as "we", "us", or "our"). Please read them carefully before enrolling in any programme.
1. Definitions
In these Terms & Conditions, the following terms carry the meanings set out below:
- "Agreement" means these Terms & Conditions together with any enrolment confirmation issued by us.
- "Content" means all recorded lectures, live session recordings, practice notebooks, reading materials, and any other learning resources provided as part of a Programme.
- "Neurogarden" / "we" / "us" / "our" means Neurogarden, an online education provider registered and operating in Malaysia, with its principal place of business at Lot 7-3, Jalan SS 21/35, Damansara Utama, 47400 Petaling Jaya, Selangor.
- "Programme" means any structured learning course or programme offered by Neurogarden, including the Data Science Foundations course, the Practical NLP & LLM Track, and the Yearlong AI Engineering Programme.
- "User" / "you" / "your" means any individual who accesses our website, enquires about, or enrols in a Programme.
- "Website" means the Neurogarden website accessible at neurogardenflow.biz.
2. Acceptance of Terms
By accessing the Website or enrolling in a Programme, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, you must not access our resources or participate in our Programmes.
To enrol in any Programme, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of Malaysia. If you are enrolling on behalf of an organisation, you warrant that you have authority to bind that organisation to these terms.
Agreement is formed when we send written confirmation of your enrolment via email following receipt of payment or a signed enrolment form.
3. Programme Description
Neurogarden offers online learning programmes in applied data science and artificial intelligence. All Programmes are delivered online through a combination of recorded video lectures, live instructor-led sessions, written materials, and practical exercises.
Programmes are available to participants in Malaysia and internationally, subject to any technical or regulatory restrictions that may apply in a participant's jurisdiction. We make reasonable efforts to ensure live sessions are scheduled at times accessible to participants in the GMT+8 time zone.
Programme content, schedules, and live session timings are subject to change. Where a significant change is made after enrolment, we will provide reasonable advance notice via the contact details held on the participant's account.
4. Enrolment & Accounts
Enrolment in a Programme requires submission of accurate contact and payment details. You are responsible for ensuring the information provided is current and correct.
Access credentials for Programme resources are issued to the individual named on the enrolment form. Account sharing — providing your login credentials to a third party — is not permitted. Each enrolment covers one individual participant only.
You are responsible for maintaining the security of your access credentials. If you suspect unauthorised access to your account, you must notify us promptly at [email protected].
We reserve the right to suspend or terminate access where there is evidence of credential sharing or other misuse of account access.
5. User Responsibilities
As a participant, you agree to engage with Programme Content in good faith and for personal learning purposes only. You must not:
- Record, reproduce, distribute, or share any Programme Content — including recorded lectures, live session recordings, or written materials — without our prior written consent.
- Use Programme Content to develop or deliver competing training courses or materials.
- Misrepresent your level of prior knowledge or experience in a way that disrupts live sessions or places undue demands on the instruction team.
- Engage in conduct during live sessions that is disruptive, abusive, or disrespectful toward instructors or other participants.
- Attempt to gain unauthorised access to any part of our systems, infrastructure, or the accounts of other participants.
- Use automated means to access, scrape, or extract Content from our delivery platforms.
You are solely responsible for ensuring you have the technical environment — hardware, internet connection, and any prerequisite software — required to participate fully in your chosen Programme.
6. Intellectual Property
All Programme Content — including but not limited to lecture recordings, slides, written guides, code examples, and datasets prepared by Neurogarden — is the intellectual property of Neurogarden and is protected under Malaysian copyright law and applicable international conventions.
Upon enrolment and payment, we grant you a limited, non-exclusive, non-transferable licence to access and use Programme Content for your own personal learning during the cohort period. This licence does not permit redistribution, resale, or use of the Content outside the scope of personal study.
Your own work belongs to you. Practice notebooks, final projects, and any code or analysis you produce independently during a Programme are your intellectual property. Neurogarden makes no claim over work created by participants.
If you provide feedback on Programme materials, you grant us a non-exclusive licence to use that feedback to improve our Programmes, without any obligation to compensate you.
7. Payment & Refunds
All fees are quoted and charged in Malaysian Ringgit (RM). Current Programme fees are:
- Data Science Foundations — RM 540
- Practical NLP & LLM Track — RM 1,520
- Yearlong AI Engineering Programme — RM 2,820
Fees are payable in full prior to the start of a cohort unless a written instalment arrangement has been agreed. Accepted payment methods are communicated at the time of enrolment.
Refund policy: A full refund is available on written request received no later than seven (7) calendar days before the cohort start date. Requests received after this date but before the third week of the Programme will be considered on a case-by-case basis. No refund is available once a participant has accessed more than two weeks of Programme Content, except where we are in material breach of these Terms.
Neurogarden reserves the right to adjust Programme fees for future cohorts. A fee change will not affect enrolments already confirmed and paid.
8. Course-Specific Terms
Completion records: A course completion record is issued to participants who submit all weekly practice notebooks and the final project by the deadlines communicated at the start of the cohort. Completion records are records of submission and participation; they are not professional qualifications or accredited certifications.
Access period: Recorded lecture access is available to enrolled participants throughout the duration of their cohort. Access does not extend automatically beyond the cohort end date. If you require extended access following the cohort, contact us to discuss availability.
Live sessions: Live sessions are scheduled in advance and recordings are made available shortly after each session. Attendance at live sessions is encouraged but not mandatory for course progression. We do not guarantee that a specific session slot will suit every participant's schedule.
Yearlong AI Engineering Programme — mentorship: Monthly one-to-one mentorship calls are scheduled by mutual agreement between the participant and the assigned mentor. Missed calls may be rescheduled once within the same calendar month, subject to mentor availability. Calls not rescheduled within the month lapse without replacement.
Academic integrity: The final project submitted for a completion record must be the participant's own work. Submission of work that is not your own, or significant uncredited use of AI-generated content in place of original analysis, may result in the completion record being withheld.
9. Disclaimers
Programme Content is provided for educational purposes only. Neurogarden does not warrant that participation in any Programme will result in employment, a change in role, a salary increase, or any other specific professional outcome. What participants achieve through study depends on their own effort, prior knowledge, and circumstances.
Content is provided on an "as is" basis. While we take reasonable care to ensure accuracy, the field of applied AI and data science evolves rapidly. Specific tools, libraries, or techniques covered in a Programme may change between cohorts.
Nothing in these Terms constitutes professional, financial, or legal advice. Participants should not rely on Programme Content as a substitute for qualified professional guidance in regulated fields.
10. Limitation of Liability
To the fullest extent permitted under Malaysian law, Neurogarden's total liability to you in connection with any Programme — whether in contract, tort, or otherwise — shall not exceed the fee paid by you for that Programme.
Neurogarden shall not be liable for any indirect, consequential, special, or punitive loss or damage, including but not limited to: loss of income, loss of data, missed business opportunity, or reputational harm, even if we were advised of the possibility of such loss.
We shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including internet service disruptions, platform outages, natural events, or public health measures.
11. Indemnification
You agree to indemnify and hold harmless Neurogarden, its instructors, employees, and representatives from any claim, loss, or expense — including reasonable legal fees — arising from your breach of these Terms, your use of Programme Content outside the permitted scope, or any conduct by you that causes harm to another participant or third party.
12. Termination
You may withdraw from a Programme at any time by written notice to us. Refund eligibility on withdrawal is governed by the refund policy in Section 7.
We may suspend or terminate your access to a Programme without refund if you breach these Terms, engage in disruptive conduct toward other participants or instructors, or misuse your account or Programme Content.
On termination, your licence to access Programme Content ceases. Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination.
13. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms or a Programme shall first be addressed through good-faith written communication between the parties.
If a dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to mediation under the rules of the Malaysian Mediation Centre before pursuing formal proceedings. If mediation does not resolve the dispute, the matter shall be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the agreed seat.
Consumer rights under the Consumer Protection Act 1999 (Malaysia) are not affected by this clause.
14. General Provisions
Entire agreement. These Terms, together with any enrolment confirmation issued by us, constitute the entire agreement between you and Neurogarden in relation to the relevant Programme and supersede all prior communications on the same subject matter.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment. You may not assign your enrolment or any rights under these Terms to another person without our prior written consent. We may assign our obligations to a successor entity in the event of a business transfer, provided the successor entity is bound by equivalent terms.
Notices. Formal notices under these Terms should be sent by email to [email protected]. Notices are deemed received on the next business day following successful transmission.
15. Changes to These Terms
We may update these Terms from time to time. Where the change is material, we will notify enrolled participants by email at least fourteen (14) days before the change takes effect.
Continued participation in a Programme after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree with a change, you may withdraw from an active Programme and request a pro-rata refund for the unused portion.
The current version of these Terms is always accessible on our Website. The "Last Updated" date at the top of this page indicates when the most recent revision was made.
